Default Is this a good deal for an S5?

I am looking at getting a 2009 S5 certified pre-owned with 20k miles on it. It's got Nav, B&O sound, 6MT. Dealer is asking $45k - is this a good deal or should I look elsewhere? This is after I negotiated some time with the dealer and I left it as I would think about it...

Can't exactly comment if it is a "good" deal or not but to me it seems reasonable. '09, S-model, good option package, low miles, manual trans, CPO...

I'd have to say it is in the right park. I'm sure you could find one for less, but how long might that take. What condition will that one be in. I say if you really like this one pull the trigger before someone buys it out from under you (like me, if I could afford it, which I can't, which make me jealous)
