Default OEM HID from S4 fit an A4 ?
02-05 Audi A4 S4 BI-XENON OEM -

will these fit an '02 A4...looking to upgrade to HID.

No reason why it wouldn't - the housings should be the same in terms of mounting, and I believe they're the same part number anyway. You should have no problems.

the 2002 S4 was the B5, so those housings will not fit a B6 A4 obviously.

The bulbs, ballasts, and wiring will fit. Not the housing of course.
