Yes, those discolored panels are factory stone guard material put there to prevent rock chips in the paint. If they are horrobly discolored, you can get them replaced. I have the part numbers on my home PC (ETKA parts directory). You will need to heat up the existing film to remove, use an adhesive remover for any residual sticky stuff (like Goo-Gone) before installing the new ones.
As far as your exhaust, what shape are the tips? If oval and dark gray, you might already ahve the OEM RS6 sound-enhanced exhaust. If aftermarket, usually there will be some tell-tale marking on the topside of the exhaust tip.
Here is a picture of the RS6 sound-enhanced exhaust:

Mine will look like this very soon
)) but no rebadging as an RS6!

Thanks for the help on those panels! If you happen to find the part number drop me a line!
There is a picture of my exhaust in the gallery...if you have time...I personally can't tell...and the picture I took may not be good enough to tell...but if you get a chance to look at it...can you tell me if it is RS6 exhaust or more likely something else? I haven't gotten close enough to really take a good look...but it definitely sounds different and looks different than the stock A6 exhausts that I have seen.
Anyway...thanks again for your help again!!!
