2002 Audi A4 Quattro 3.0L V6

Hey guys, I've already got a hold of Audi w/ the code and they said that it dosent make sense, go figure.

Code: Warm up cataylst below threashold ( they said this is a bad cat, but would not cause my problem )

Problem: Always when the car is cold, and sometimes warm - When I hop on the freeway and tromp down, is when it happens the most, the engine almost dies, I pull over throw it in Neutral and play around w/ it. If I slowly throttle up it seems fine, if I quickly push to WOT it practically stalls out. Other times i'll just be entering the on ramp and it will do it at a medium acceleration. Only sometimes, does this happen, it seems when I really need the car to run good is when it fails.

ANY IDEAS?! Snap-On won't come down on a Solus so maybe you guys can help. Hell what sensors should I check, anything!

I did try to throw it into N on the freeway while it was doing it, thinking maybe it was the tranny but nothing changed.
