I have a line on a 2008 S4 Avant with 42,000 miles on it that's pretty much loaded for a great price ~ under $30,000.

Now here is where the issue comes in it was an Audi Buyback that had a full motor replacement and cannot be Certified used now. It still has warranty for another 8 months or 8,000 miles. The dealer has no clue why it was replaced or what had happend with it they just purchased it from Audi corporate.

Would you buy? and what would you offer?

It's an Audi dealer who bought it from Audi corporate so they should be able to get its history easily enough. If they "can't" (read: won't), find another car. If you're going to buy an expensive car from a dealer, buy one that is CPO just for peace of mind, or at least get one that hasn't had a mystery engine replacement for no available reason.
