Default Newb needs advice on 2004 A8 purchase price

Newb here. Coming from a '98 then an '01 740i. Just hit the end of the CPO on my 740, and can't stand the looks of the new 7 series. Have read lots, and settled on an A8, 2004 or 2005. Havelooked at many CPOcars advertised in the Boston area for $38k to $49k. What do you think my target point should be for a 2004 A8L with a VIN>12000, CPO, put in service 3/04, 35k miles, clean, sold by an Audi dealer? Should I have to go above $40k? Should I expect to pay a premium for any specific color? I have also seen an '05 with 35k miles for $46k that just showed up this AM on a search, inservice 3/05, CPO, Audi dealer. Should I be concerned with the lower asking on an '05? Carfax is clean on that one. Thanks in advance!
